Strategy Risk
The fund pursues a concentrated liquidity-provision strategy on Solana decentralized exchanges. Smart-contract vulnerabilities, oracle failures, validator outages, adversarial trading practices, and impermanent loss can cause material losses independent of broader market direction.
Market and Volatility Risk
Digital assets exhibit extreme price volatility. Prices may move significantly within short time periods, resulting in substantial drawdowns or forced liquidation of positions.
Concentration Risk
The fund's strategy is concentrated in the Solana ecosystem. Network outages, ecosystem-wide failures, or value depreciation of underlying assets may affect all positions simultaneously.
Custody and Operational Risk
Digital assets are held in self-custodied wallets controlled by the Investment Manager. Loss of keys, compromise of operational systems, or insider misconduct could result in total loss of fund assets.
Liquidity and Redemption Risk
Subscriptions are subject to lock-up periods, redemption notice requirements, and may be subject to redemption gates or suspensions in stressed market conditions. Specific terms are set out in the Subscription Agreement provided to qualified investors.
Valuation Risk
Net asset value calculations rely on on-chain pricing data and oracle feeds, which may be unreliable during market stress. Reported values are estimates and may differ from actual realizable value.
Regulatory Risk
The fund is offered under the BVI Incubator Fund regime. Regulatory frameworks for digital assets are evolving and may impose new restrictions, potentially with retroactive effect. The fund is not registered with the SEC, FCA, ESMA, or any other developed-market regulator.
